VALENS CREATOR TERMS

Effective Date: December 19th, 2025

These Valens Creator Subscription Terms (“Creator Terms”) govern the creation, management, and monetization of subscription plans on the Valens platform (“Valens,” “we,” “our,” or “us”), operated by Valens Technologies, Inc.

By creating or activating a subscription plan, you agree to these Creator Terms, the Valens Terms of Use, Privacy Policy, Community Guidelines, and Payout Policy, all of which are incorporated by reference.

1. Eligibility & Creator Status

By creating a subscription plan, you confirm that you are at least 18 years old and legally permitted to offer digital content in your jurisdiction.

You act as an independent creator and are not an employee, agent, partner, or representative of Valens. You have no authority to bind Valens or act on its behalf.

2. Subscription Plan Creation

You may create private channels, define subscriber perks, and set monthly subscription prices between $9.99 USD and $100.00 USD, subject to platform approval and applicable law.

Valens may review, approve, limit, or disable subscription plans at its sole discretion.

3. Platform Fees & Billing Authorization

3.1 Monthly Maintenance Fee

Valens charges a $19.99 USD monthly maintenance fee for hosting, operating, and supporting each active subscription plan.

3.2 Withdrawal Fee

A 5% withdrawal fee applies to each payout request.

3.3 Billing Authorization

By enabling your plan, you authorize Valens to automatically charge applicable fees and deduct withdrawal fees.

4. Earnings, Taxes & Payouts

Subscription earnings are displayed in the Creator Dashboard. Payouts require successful KYC verification and are governed by the Valens Payout Policy.

You are solely responsible for:

  • Reporting all income
     

  • Paying applicable taxes
     

  • Complying with financial and tax laws in your jurisdiction
     

Valens does not provide tax, legal, or financial advice.

5. Content Responsibilities

You are solely responsible for all content provided to subscribers. Content must comply with Valens Community Guidelines and all applicable laws.

Illegal, misleading, abusive, harmful, or fraudulent content is prohibited.

Valens does not exercise editorial control over creator content.

6. Compliance & Enforcement

Valens may, in its sole discretion:

  • Restrict or disable monetization
     

  • Freeze, delay, or reverse payouts
     

  • Remove content
     

  • Suspend or terminate subscription plans
     

Such actions may be taken to ensure compliance with platform policies, payment processor requirements, or applicable law.

7. Payments & Third-Party Processors

Payments are processed by authorized third-party providers (including Stripe, Apple, and Google). Valens does not store or process payment credentials.

Payment processing is subject to the terms of the applicable provider.

8. Platform Changes

Valens may modify, suspend, or discontinue subscription features, pricing, or availability at any time, subject to applicable law.

9. Governing Law

These Creator Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

 

10. Agreement

By creating or managing a subscription plan, you acknowledge that you have read, understood, and agree to these Creator Terms.
