VALENS CREATOR TERMS

These Valens Creator Subscription Terms (“Creator Terms”) govern the creation, management, and monetization of subscription plans on the Valens platform (“Valens,” “we,” “our,” or “us”), operated by Valens Technologies, Inc.
By creating, enabling, or managing a subscription plan, you agree to be bound by these Creator Terms, together with the Valens Terms of Service, Privacy Policy, Community Guidelines, and Payout Policy, all of which are incorporated by reference.
1. Eligibility & Creator Status
By creating a subscription plan, you represent and warrant that:

• you are at least 18 years of age;

• you are legally permitted to offer digital content and subscription-based services in your jurisdiction; and

• your participation complies with all applicable laws and regulations.

You act as an independent creator. Nothing in these Creator Terms creates an employment, agency, partnership, or joint venture relationship between you and Valens. You have no authority to bind Valens or act on its behalf.
2. Subscription Plan Creation
Creators may create subscription plans that provide subscribers with access to digital content, community features, or creator-defined experiences.

• You may define subscriber benefits and set monthly subscription pricing within the range of USD $9.99 to USD $100.00, subject to platform rules and applicable law.

• All subscription plans are subject to review, approval, limitation, or removal by Valens at its sole discretion.

Valens does not guarantee approval, visibility, or continued availability of any subscription plan.
3. Platform Fees & Billing Authorization
3.1 Monthly Maintenance Fee
Valens charges a USD $19.99 monthly maintenance fee for hosting, operating, and supporting each active subscription plan.
3.2 Payout Processing Fee
A 5% payout processing fee applies to each payout request.
3.3 Billing Authorization
By enabling a subscription plan, you authorize Valens to:

• charge applicable platform fees; and

• deduct payout processing fees from amounts otherwise payable to you.

4. Earnings, Taxes & Payouts
Subscription earnings are displayed in the Creator Dashboard and represent gross subscriber payments minus applicable platform and processing fees.

• Payouts are subject to successful identity verification and compliance checks, as outlined in the Valens Payout Policy.

• You are solely responsible for:

  • reporting income,

  • paying all applicable taxes, and

  • complying with tax, financial, and reporting obligations in your jurisdiction.

Valens does not provide tax, legal, or financial advice.
5. Content Responsibilities
You are solely responsible for all content offered to subscribers.
All content must:

• comply with Valens Community Guidelines; and

• comply with all applicable laws and regulations.

Prohibited content includes content that is illegal, misleading, abusive, harmful, deceptive, or fraudulent.
Valens does not exercise editorial control over creator content but reserves the right to take action as necessary to enforce platform policies and legal requirements.
6. Compliance & Enforcement
To protect users, payment partners, and platform integrity, Valens may, in its sole discretion:

• restrict, suspend, or disable monetization features;

• freeze, delay, or reverse payouts;

• remove content or subscription plans; or

• suspend or terminate creator accounts.

Such actions may be taken to ensure compliance with platform policies, payment processor requirements, or applicable law and may occur without prior notice where legally permitted.
7. Payments & Third-Party Processors
Subscription payments and payouts are processed by authorized third-party payment providers, including but not limited to Stripe, Apple, and Google.

• Valens does not store or process payment credentials.

• Payment processing is subject to the terms, policies, and fees of the applicable provider.

8. Platform Changes
Valens may modify, suspend, or discontinue subscription features, pricing structures, or availability at any time, subject to applicable law. Where required, reasonable notice will be provided.
9. Governing Law
These Creator Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.
10. Agreement
By creating or managing a subscription plan, you acknowledge that you have read, understood, and agree to these Creator Terms and all incorporated policies.
