VALENS SUBSCRIBER  TERMS

These Valens Subscriber Subscription Terms (“Subscriber Terms”) govern the purchase and use of subscription plans on the Valens platform (“Valens,” “we,” “our,” or “us”), operated by Valens Technologies, Inc.

By purchasing or accessing a subscription, you agree to be bound by these Subscriber Terms, as well as the Valens Terms of Service, Privacy Policy, and Community Guidelines, all of which are incorporated by reference.

1. Eligibility

Subscriptions are available only to users who are 18 years of age or older. By subscribing, you represent and warrant that you meet this eligibility requirement.

2. Subscription Access

Subscriptions provide access to digital content, features, or community experiences offered by creators or businesses on the Valens platform.

  • Access is personal, limited, revocable, and non-transferable.

  • Subscriptions do not grant ownership of any content, intellectual property, or creator materials.

  • Access is limited to the duration of an active subscription.

3. Billing & Auto-Renewal

By subscribing, you authorize Valens and its authorized payment processors to charge your selected payment method on a recurring basis (typically monthly) until you cancel.

  • Subscription pricing is disclosed at the time of purchase.

  • Any changes to pricing will apply only to future billing cycles, where permitted by law.

  • You are responsible for maintaining valid payment information.

4. Cancellation

You may cancel your subscription at any time through your account settings or applicable app store tools.

  • Cancellation takes effect at the end of the current billing period.

  • You will continue to have access until the end of that billing cycle.

5. No Refunds

All subscription payments are final and non-refundable, including for unused time, except where refunds are required by applicable law or platform policies (such as app store requirements).

6. Content Use & Protection

Subscription content is provided for personal, non-commercial use only.

You may not:

  • reproduce, copy, distribute, publicly display, sublicense, or sell subscription content;

  • share access credentials or otherwise circumvent access controls.

Unauthorized use may result in account suspension or termination, in accordance with Valens policies.

7. No Financial Rights or Investment Expectation

Subscriptions are not:

  • investments,

  • securities,

  • tokens,

  • financial instruments, or

  • participation in any profit-sharing or revenue-generating scheme.

Subscriptions provide access only and do not confer:

  • ownership rights,

  • profit participation,

  • resale rights,

  • appreciation rights, or

  • any expectation of financial return.

8. Payments & Third-Party Processors

All subscription payments are processed through authorized third-party payment providers (such as Stripe or app store processors).

  • Valens does not store full payment credentials.

  • Payment processing is subject to the terms and policies of the applicable provider.

9. Platform Changes

Valens may modify, suspend, or discontinue subscription features or offerings at any time, subject to applicable law.

Where required, reasonable notice will be provided.

10. Governing Law

These Subscriber Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

11. Agreement

By subscribing, you acknowledge that you have read, understood, and agree to these Subscriber Terms and all referenced policies.
